Position overview

Our client is seeking a mid-level associate with 3–4 years of experience to join its Life Sciences group in Philadelphia. The position focuses on intellectual property licensing, technology transactions, technology transfer, and IP support for corporate transactions in the life sciences arena.

The Work

  • Draft and negotiate intellectual property licenses, including patent and trademark licenses, for matters involving life sciences technologies.
  • Prepare and negotiate joint development, collaboration, and other strategic alliance agreements.
  • Work on technology licenses and services agreements, including software-as-a-service agreements.
  • Draft and negotiate distribution agreements as part of a varied licensing and technology transactions practice.
  • Conduct intellectual property and technology transaction due diligence in connection with corporate transactions in the life sciences arena.
  • Support technology transfers and assess related IP and technology transaction issues.

What You Bring

  • Three to four years of relevant legal experience.
  • Direct experience in intellectual property licensing is central to the role.
  • Experience with technology transfer and other technology transactions.
  • Experience drafting and negotiating IP licenses, including patent and trademark licenses.
  • Experience with joint development, collaboration, strategic alliance, technology services, SaaS, or distribution agreements.
  • Experience conducting IP and technology transaction due diligence for corporate transactions in the life sciences arena.
  • Experience in adjacent fields may be considered, though direct licensing experience is most relevant.

Compensation & Benefits

The supplied base compensation estimate is $260,000–$310,000, based on the 2026 Cravath scale; it is an estimate, not firm-stated compensation.
