A Los Angeles opportunity for an associate with 3–4 years of experience to work on intellectual property and technology transactions across the life sciences arena. The practice includes licensing, technology transfer, and IP support for corporate transactions, with a range of agreement types and diligence work.
The Work
- Draft and negotiate intellectual property licenses, including patent and trademark licenses, supporting transactions in the life sciences arena.
- Prepare and negotiate joint development, collaboration, and other strategic alliance agreements tied to technology and commercial relationships.
- Work on technology licenses and services agreements, including software-as-a-service arrangements.
- Draft and negotiate distribution agreements as part of a broad licensing practice.
- Conduct intellectual property and technology transaction due diligence for corporate transactions, identifying and assessing relevant IP and technology issues.
- Support technology transfers and related licensing matters, applying direct experience across different transaction contexts.
What You Bring
- 3–4 years of associate experience with direct experience in intellectual property licensing.
- Experience with technology transfer and other technology transactions.
- Experience drafting and negotiating IP licenses, including patent and trademark licenses.
- Experience with joint development, collaboration, or strategic alliance agreements is relevant.
- Experience with technology licenses and services agreements, including software-as-a-service agreements, is relevant.
- Experience with distribution agreements is relevant.
- Experience conducting IP and technology transaction due diligence for corporate transactions is relevant; life sciences arena experience is important.
- Experience in adjacent fields may be considered, but direct licensing experience is most closely aligned with the core responsibilities.

Compensation & Benefits
