Join a Santa Monica life sciences practice handling intellectual property licensing, technology transfers, and transactional support for corporate deals. This role brings together agreements that enable collaboration and commercialization with IP diligence in the life sciences arena.
The Work
- Draft and negotiate intellectual property licenses, including patent and trademark licenses, for life sciences matters.
- Develop and negotiate joint development, collaboration, and other strategic alliance agreements.
- Handle technology licenses and services agreements, including software-as-a-service agreements.
- Draft and negotiate distribution agreements as part of a varied licensing and technology transactions practice.
- Perform intellectual property and technology transaction due diligence in connection with corporate transactions.
- Support technology transfers and assess IP and technology issues across life sciences transactions.
What You Bring
- Three to four years of relevant legal experience, with direct licensing experience carrying the greatest weight.
- Experience with intellectual property licensing, technology transfer, and other technology transactions.
- Demonstrated experience drafting and negotiating IP licenses, including patent and trademark licenses.
- Experience with joint development, collaboration, or strategic alliance agreements.
- Experience handling technology licenses and services agreements, including SaaS, and/or distribution agreements.
- Experience conducting IP and technology transaction due diligence for corporate transactions or technology transfers.
- Experience in adjacent fields may be considered, though direct experience aligned with licensing responsibilities and technical requirements is most relevant.

Compensation & Benefits
The supplied compensation range is an estimate of $260,000–$310,000 based on the 2026 Cravath base scale, not firm-stated compensation.
