Join a San Francisco practice advising on the agreements and technology issues that shape life sciences innovation. This role combines hands-on licensing and technology transaction work with intellectual property support for corporate transactions, offering exposure to a broad range of commercial arrangements.
The Work
- Draft and negotiate intellectual property licenses, including patent and trademark licenses, for life sciences matters.
- Structure and negotiate joint development, collaboration, and other strategic alliance agreements.
- Handle technology licenses and services agreements, including software-as-a-service arrangements.
- Draft and negotiate distribution agreements and other agreements involving technology and intellectual property.
- Support technology transfers and advise on related licensing and transaction issues.
- Conduct intellectual property and technology transaction due diligence for corporate transactions in the life sciences sector.
What You Bring
- Three to four years of associate experience, with direct experience in licensing aligned with the role’s core responsibilities.
- Experience with intellectual property licensing, technology transfer, and other technology transactions.
- Experience drafting and negotiating IP licenses, including patent and trademark licenses, and related commercial agreements.
- Experience with joint development, collaboration, strategic alliance, technology services, or distribution agreements is relevant.
- Experience conducting IP and technology transaction due diligence for corporate transactions is valuable; adjacent experience may be considered, though direct licensing experience is most closely aligned.

Compensation & Benefits
The estimated base salary range is $260,000–$310,000, based on the 2026 Cravath base scale; this is an estimate and not firm-stated compensation.
