Our client is seeking a mid-level associate with 3–5 years of experience to join its Life Sciences group in Philadelphia. The role focuses on intellectual property licensing, technology transfer, and related transactions, with Mandarin fluency required and experience working in Asia strongly preferred.
The Work
- Draft and negotiate intellectual property licenses, including patent and trademark licenses, for life sciences matters.
- Advise on joint development, collaboration, and other strategic alliance agreements, supporting the structuring and documentation of commercial relationships.
- Work on technology licenses and services agreements, including software-as-a-service agreements, and address the technology and IP issues they raise.
- Draft and negotiate distribution agreements connected to life sciences businesses and products.
- Conduct intellectual property and technology transaction due diligence for corporate transactions, assessing relevant assets, agreements, and related issues.
- Support technology transfers and other technology transactions as part of a broad life sciences licensing practice.
What You Bring
- Three to five years of relevant legal experience, with experience in intellectual property licensing, technology transfer, or related technology transactions.
- Fluency in Mandarin is required.
- Experience working in Asia is strongly preferred.
- Experience drafting and negotiating intellectual property licenses, including patent and trademark licenses.
- Experience with joint development, collaboration, or other strategic alliance agreements.
- Experience with technology licenses and services agreements, including software-as-a-service agreements, and/or distribution agreements.
- Experience conducting IP and technology transaction due diligence in connection with corporate transactions.

Compensation & Benefits
Compensation is estimated at $260,000–$365,000 based on the 2026 Cravath base scale; the range is an estimate rather than firm-stated compensation.
