Our client is seeking a mid-level or senior associate with 4–8 years of experience to join its life sciences transactional group in San Francisco. The team represents public and private life sciences companies and dedicated healthcare investment funds across a broad range of corporate transactions.
The Work
- Advise public and private life sciences companies and dedicated healthcare investment funds on corporate transactions and related securities matters.
- Work on public capital markets offerings, including IPOs, follow-on offerings and at-the-market facilities.
- Represent clients in private offerings, including PIPEs and venture capital financings.
- Prepare and advise on Exchange Act reporting, including Forms 10-K, 10-Q and 8-K.
- Handle public and private company M&A, including structured transactions such as earnout-based deals, product acquisitions and spin-out transactions.
- Contribute to client matters in a collaborative transactional practice, taking responsibility across a varied life sciences corporate workload.
What You Bring
- 4–8 years of experience, corresponding to the mid-level or senior associate range sought for this position.
- Experience handling a broad range of corporate transactions for a life sciences company or investment fund.
- Deep experience with public capital markets offerings, including IPOs, follow-on offerings and ATM facilities.
- Experience with private offerings, including PIPEs and venture capital financings.
- Experience with Exchange Act reporting, including Forms 10-K, 10-Q and 8-K.
- Experience with public and private company M&A, including structured deals, is required.
- Admission to the California Bar, or eligibility to obtain admission promptly.

Compensation & Benefits
The stated annual compensation range is $260,000–$420,000, depending on qualifications and operational considerations, with discretionary performance-based bonuses.
