Position overview

Our client is seeking an associate with 3–5 years of relevant experience to advise on transactions where technology, data, and brand value shape business outcomes. This opportunity offers substantial exposure to complex deals and the commercial questions facing technology, software, consumer, and media businesses.

The Work

  • Advise private equity firms, strategic investors, technology and software companies, and consumer brands on transactions in which intellectual property and technology assets are central to deal value.
  • Lead and support mergers and acquisitions, joint ventures, strategic collaborations, carve-outs, divestitures, and investments involving technology, software, data, or branded consumer products.
  • Draft, review, and negotiate purchase agreements, intellectual property licenses and assignments, software and cloud services agreements, and trademark arrangements.
  • Counsel on intellectual property and technology issues, including AI use and deployment, in connection with product launches, digital transformation, e-commerce, advertising, media, and entertainment matters.
  • Provide practical advice on trademark, copyright, patent, and data rights, including commercialization approaches and risk assessment for consumer-facing and technology-driven businesses.
  • Work with multidisciplinary teams on matters involving retail, beauty, food and beverage, health and wellness, software, SaaS, digital health, and other emerging technologies.

What You Bring

  • Three to five years of relevant experience in intellectual property transactions, technology licensing, or a related practice area; experience at a leading law firm is preferred.
  • Demonstrated ability to draft and negotiate complex license agreements and other commercial agreements involving technology, software, data, or brand assets.
  • Experience advising on transactional matters involving intellectual property, technology, or commercial rights.
  • Ability to use AI technologies responsibly and ethically.
  • Strong written and verbal communication skills, including the ability to explain complex legal issues clearly to clients.
  • Excellent client-service and interpersonal skills, with a collaborative approach to problem-solving and project management.
  • Ability to manage multiple priorities in a dynamic, high-volume environment and support high-profile clients.
  • J.D. from an accredited law school or equivalent, and admission to practice in relevant jurisdiction(s).

Compensation & Benefits

The supplied compensation range is an estimate of $260,000–$365,000 based on the 2026 Cravath base scale; it is not firm-stated compensation.
