Our client is seeking an attorney with 3–5 years of relevant experience to advise on transactions where technology, data, intellectual property, and brand assets drive business value. Based in San Francisco, this role offers broad exposure to complex deals and clients across technology, software, consumer retail, and media.
The Work
- Advise private equity firms, strategic investors, technology and software companies, and consumer brand businesses on transactions where IP, technology, and brand assets are central to deal value.
- Lead and support mergers and acquisitions, joint ventures, strategic collaborations, carve-outs, divestitures, and investments involving technology, software, data, and branded consumer products.
- Draft, review, and negotiate purchase agreements, IP licenses, assignments, software and cloud services agreements, and trademark arrangements.
- Counsel clients on IP and technology issues, including AI use and deployment, in connection with product launches, digital transformation, e-commerce, advertising, media, and entertainment deals.
- Provide practical guidance on trademark, copyright, patent, and data rights, including commercialization strategies and risk assessment for consumer-facing and technology-driven businesses.
- Work collaboratively across disciplines on matters involving retail, beauty, food and beverage, health and wellness, software, and emerging areas such as AI, digital health, and SaaS.
What You Bring
- 3–5 years of relevant experience in intellectual property transactions, technology licensing, or a related practice area; experience at a leading law firm is preferred.
- Demonstrated ability to draft and negotiate complex license agreements and commercial agreements involving technology, software, data, or brand assets.
- Experience advising on transactional matters involving IP, technology, or brands, including M&A, investments, collaborations, or related deal work.
- Ability to provide clear, practical guidance on complex legal issues to clients in consumer and technology sectors.
- Strong written and verbal communication, client service, interpersonal, collaboration, and project-management skills.
- Ability to manage multiple priorities in a dynamic, high-volume environment while serving high-profile clients.
- Proficiency in using AI technologies responsibly and ethically.
- J.D. from an accredited law school or equivalent, and admission to practice in the relevant jurisdiction(s).

Compensation & Benefits
The estimated compensation range is $260,000–$365,000, based on the 2026 Cravath base scale; this is an estimate rather than a firm-stated range.
