Position overview

Our client is seeking a New York associate with 3–5 years of relevant experience to work where intellectual property, technology, data, and brand value intersect with business strategy. The practice advises investors and companies across technology, software, consumer retail, and media on complex transactions and commercial matters.

The Work

  • Advise private equity firms, strategic investors, and technology, software, and consumer brand companies on transactions in which intellectual property, technology, data, and brand assets are central to deal value.
  • Lead and support mergers and acquisitions, joint ventures, strategic collaborations, carve-outs, divestitures, and investments involving technology, software, data, and branded consumer products.
  • Draft, review, and negotiate purchase agreements, intellectual property licenses and assignments, software and cloud services agreements, and trademark arrangements.
  • Counsel on intellectual property and technology issues connected to product launches, digital transformation, e-commerce, advertising, media, and entertainment deals.
  • Provide practical guidance on trademark, copyright, patent, and data rights, including commercialization strategies and risk assessment for consumer-facing and technology-driven businesses.
  • Work with multidisciplinary teams on matters involving sectors such as retail, beauty, food and beverage, health and wellness, software, AI, digital health, and SaaS.

What You Bring

  • Three to five years of relevant experience in intellectual property transactions, technology licensing, or a related practice area.
  • Demonstrated ability to draft and negotiate complex license agreements and other commercial agreements involving technology, software, data, or brand assets.
  • Experience with transactional work involving intellectual property, technology, or consumer products; familiarity with M&A and related deal structures is valuable.
  • Ability to provide clear, practical advice on complex legal issues to clients in consumer and technology sectors.
  • Strong written and verbal communication, client service, collaboration, and project management skills.
  • Ability to manage multiple priorities in a dynamic, high-volume environment and support high-profile clients.
  • Proficiency in using AI technologies responsibly and ethically.
  • J.D. from an accredited law school or equivalent, and admission to practice in the relevant jurisdiction.

Compensation & Benefits

Estimated compensation is $260,000–$365,000, based on the 2026 Cravath base scale; this is an estimate, not firm-stated compensation.
