Our client is seeking a Boston-based attorney with 3–5 years of experience to advise on transactions where intellectual property, technology, data, and brand assets are central to deal value. The work spans established industries and emerging technologies, combining complex deal execution with practical counseling for business decisions.
The Work
- Advise private equity firms, strategic investors, technology and software companies, and consumer brands on transactions in which IP and technology assets are central to the commercial opportunity.
- Lead and support mergers and acquisitions, joint ventures, strategic collaborations, carve-outs, divestitures, and investments involving technology, software, data, and branded consumer products.
- Draft, review, and negotiate purchase agreements, IP licenses, assignments, software and cloud services agreements, and trademark arrangements.
- Counsel clients on AI use and deployment, product launches, and digital transformation initiatives, including related intellectual property and technology considerations.
- Provide practical guidance on trademark, copyright, patent, and data rights, including commercialization strategies and risk assessment for consumer-facing and technology-driven businesses.
- Work with multidisciplinary teams on matters across retail, beauty, food and beverage, health and wellness, software, digital health, and other emerging technology sectors.
- Support transactions and business initiatives involving e-commerce, advertising, media, and entertainment.
What You Bring
- 3–5 years of relevant legal experience in intellectual property transactions, technology licensing, or a related practice area.
- Demonstrated ability to draft and negotiate complex license agreements and commercial agreements involving technology, software, data, or brand assets.
- Experience advising on transactional matters such as M&A, joint ventures, strategic collaborations, carve-outs, divestitures, or investments is relevant.
- Knowledge of intellectual property and technology issues affecting consumer-facing or technology-driven businesses.
- Ability to use AI technologies responsibly and ethically.
- Strong written and verbal communication skills, including the ability to explain complex legal concepts in practical terms.
- Excellent interpersonal, client service, collaboration, and project management skills, with the ability to manage multiple priorities in a dynamic environment.
- J.D. degree from an accredited law school or equivalent, and admission to practice in the relevant jurisdiction or jurisdictions.

Compensation & Benefits
The supplied estimated base salary range is $260,000–$365,000, based on the 2026 Cravath scale; it is an estimate and not firm-stated compensation.
