Position overview

Our client is seeking an associate with 3–5 years of experience to join its Palo Alto intellectual property transactions practice, advising life sciences and healthcare clients on complex licensing, collaboration, and commercial matters. The work spans established pharmaceutical companies, emerging biotech businesses, medical device leaders, and the investors that finance and acquire them.

The Work

  • Advise clients on complex intellectual property licenses and collaborations in the biotechnology, pharmaceutical, and medical device sectors.
  • Draft and negotiate license agreements and commercial contracts involving intellectual property, technology, and data assets.
  • Support strategic M&A transactions, including big pharma-biotech acquisitions, NewCo formations, and carve-outs to establish new companies.
  • Prepare and negotiate manufacturing, supply, distribution, and other commercial arrangements for life sciences and healthcare businesses.
  • Work with multidisciplinary teams to address business and legal issues involving data rights, artificial intelligence, digital health, and regulatory compliance.
  • Counsel a varied client base that includes global pharmaceutical companies, emerging biotech startups, medical device leaders, private equity firms, venture capital funds, and strategic investors.

What You Bring

  • Three to five years of relevant experience in intellectual property transactions, technology licensing, or a related practice at a multi-office law firm.
  • Experience focused on life sciences, including biotechnology, pharmaceuticals, or medical devices.
  • Demonstrated ability to draft and negotiate complex license agreements and other commercial agreements involving IP, technology, and data assets.
  • Strong written and verbal communication skills, including the ability to explain complex legal and scientific concepts to clients.
  • Excellent interpersonal, client-service, collaboration, project-management, and problem-solving skills, with the ability to manage multiple priorities in a high-volume environment.
  • Proficiency using AI technologies responsibly and ethically.
  • J.D. from an accredited law school or equivalent, and admission to practice in relevant jurisdiction(s).
  • Advanced scientific training, such as a graduate degree in life sciences, chemistry, biomedical sciences, or engineering, and/or USPTO admission is preferred but not required.
