Our client is seeking a New York City associate with 3–5 years of relevant experience to advise life sciences businesses and investors on intellectual property transactions. The work spans licensing, collaborations, strategic acquisitions, and commercial arrangements across biotechnology, pharmaceuticals, medical devices, and healthcare.
The Work
- Advise clients on complex intellectual property license agreements and collaborations, including drafting and negotiating terms involving technology and data assets.
- Support strategic M&A involving pharmaceutical and biotechnology businesses, including big pharma-biotech acquisitions, NewCo formations, and carve-outs to establish new companies.
- Draft and negotiate manufacturing, supply, distribution, and other commercial agreements for clients in the life sciences and healthcare industries.
- Work with multidisciplinary teams to address legal and business challenges involving data rights, artificial intelligence, digital health, and regulatory compliance.
- Counsel a varied client base that includes global pharmaceutical companies, emerging biotech startups, medical device leaders, and investors financing or acquiring life sciences businesses.
What You Bring
- 3–5 years of relevant experience in intellectual property transactions, technology licensing, or a related practice at a multi-office law firm, with a focus on life sciences.
- Experience drafting and negotiating complex license agreements and other commercial agreements involving IP, technology, and data assets in the life sciences sector.
- Ability to communicate complex legal and scientific concepts clearly to clients, both verbally and in writing.
- Collaborative approach to client service, problem-solving, and project management, with the ability to manage multiple priorities in a dynamic, high-volume environment.
- Proficiency in using AI technologies responsibly and ethically.
- J.D. degree from an accredited law school or equivalent, and admission to practice in the relevant jurisdiction or jurisdictions.
- Advanced scientific training, such as graduate study in life sciences, chemistry, biomedical sciences, or engineering, and/or USPTO admission is preferred but not required.
