Our client is seeking a litigation associate for its Costa Mesa office, with a focus on securities and M&A disputes. The position is designed for an associate in the 3rd–5th year class and offers involvement in significant matters affecting companies, boards, financial institutions, and complex transactions.
The Work
- Contribute to high-stakes securities litigation, including class actions, stockholder derivative suits, IPO and direct-listing cases, and SPAC-related disputes.
- Work on M&A litigation arising before and after signing, including fiduciary-duty claims, disclosure suits, appraisal actions, and corporate-control disputes.
- Handle disputes involving deal protections, material adverse effects, covenant breaches, indemnification, representations and warranties, earnouts, and other post-closing issues.
- Support corporate governance and derivative matters, including stockholder demands and challenges to directors’ and officers’ conduct.
- Participate in SEC and regulatory enforcement matters and professional-liability cases, including complex civil and criminal proceedings and investigations.
- Help develop practical litigation strategies focused on resolving disputes efficiently and minimizing disruption to clients’ businesses; matters may proceed through trial when necessary.
- Work with a team advising potential acquirers, targets, and financial advisors on deal protections, conflicts of interest, disclosure obligations, and litigation risk.
What You Bring
- At least two years of securities litigation experience.
- Experience level aligned with a 3rd–5th year associate class.
- Relevant litigation experience involving complex securities matters, such as class actions, derivative suits, or regulatory disputes.
- Familiarity with disputes arising from public or private transactions, corporate governance, or stockholder claims is relevant to the practice.
- Ability to contribute to sophisticated litigation matters involving companies, boards, financial institutions, or other business clients.

Compensation & Benefits
Estimated base compensation is $260,000–$365,000, based on the supplied 2026 Cravath-scale estimate; this is an estimate, not firm-stated compensation.
