Our client is seeking a mid-level attorney to join a Chicago funds practice advising on the full lifecycle of registered investment companies and business development companies—from structuring and offerings to operations, ongoing financing and regulation. The work spans established products and evolving fund strategies.
The Work
- Advise funds, fund sponsors, underwriters and other service providers on structuring, offering, operating, financing and regulating registered investment companies and business development companies.
- Support matters involving closed-end funds, mutual funds and exchange-traded funds, including listed, non-traded and privately offered structures.
- Work on rights offerings, preferred stock and other leverage strategies for closed-end funds and business development companies.
- Advise on emerging registered and regulated investment company structures and strategies.
- Provide corporate and regulatory advice to business development company boards of directors.
- Work with M&A colleagues on Investment Company Act matters connected with asset manager transactions.
What You Bring
- Approximately four years of relevant legal experience; class years 2022–2020 are in scope.
- Experience with 1940 Act registered funds and business development companies.
- Knowledge of registered investment company products, including closed-end funds, mutual funds or ETFs.
- Experience advising on fund structuring, offerings, operations, financing or regulatory matters.
- High academic achievement is preferred, as is experience in the investment management group of a peer firm.

Compensation & Benefits
The stated base salary range is $310,000–$390,000, with potential discretionary year-end bonus eligibility.
