Position overview

Our client is expanding its Bay Area corporate practice and seeks mid-level and senior associates for a Redwood City team advising innovative businesses and investors throughout the private capital lifecycle. Associates work on sophisticated transactions and have the opportunity to take meaningful ownership, develop direct client relationships, and collaborate across a broad platform.

The Work

  • Lead transaction execution and manage deal processes for venture capital, growth equity, and other private capital transactions.
  • Draft and negotiate principal transaction documents for company-side and investor-side financings, including preferred equity investments at different stages of growth.
  • Advise on primary and secondary equity investments, strategic and crossover investments, and structured liquidity transactions.
  • Counsel venture-backed and growth-stage companies on corporate governance and day-to-day corporate matters, including direct work with founders, executives, and boards.
  • Work on mergers and acquisitions involving private and venture-backed companies, coordinating with colleagues across relevant practice areas.
  • Support pre-IPO counseling and capital markets readiness, as well as complex cross-border private capital transactions.
  • Coordinate multidisciplinary teams across practices and offices, maintain client relationships, and contribute to mentoring junior associates and practice growth.

What You Bring

  • Approximately 3–7 years of experience at a leading law firm.
  • Significant experience in venture capital, growth equity, private-company financings, emerging companies, private equity, or related corporate transactions.
  • Strong drafting and negotiation skills, including experience handling principal transaction documents.
  • Ability to manage transaction processes and coordinate complex matters with multiple teams.
  • Strong written and oral communication skills and strong academic credentials.
  • California bar admission or eligibility for admission.
  • Entrepreneurial mindset and interest in contributing to the growth of a practice.
