Position overview

Our client is seeking a Chicago-based associate with 3–6 years of experience to advise on workforce and executive issues that can shape transaction value, leadership stability, and post-closing integration. This practice brings employment counseling into the center of corporate dealmaking.

The Work

  • Support labor and employment diligence in mergers, acquisitions, and private equity investments, identifying workforce issues relevant to transaction value and risk allocation.
  • Draft and negotiate executive employment agreements, separation arrangements, and restrictive covenant agreements in connection with transactions and leadership changes.
  • Advise on executive mobility, including the structure and enforceability of non-competition and non-solicitation obligations.
  • Assist with post-transaction workforce integration, executive transitions, and sensitive personnel matters that arise after closing.
  • Work with senior executives and corporate leadership on personnel and governance issues requiring discretion and strategic judgment.
  • Collaborate with corporate deal teams, private equity sponsors, and corporate clients on employment issues arising during and after transactions.

What You Bring

  • 3–6 years of experience in labor and employment work involving transactional or strategic advisory matters.
  • Experience supporting employment diligence for mergers, acquisitions, or private equity investments.
  • Ability to draft and negotiate executive employment, separation, and restrictive covenant agreements.
  • Knowledge of executive mobility issues, including non-competition and non-solicitation obligations.
  • Strong judgment and discretion in handling sensitive personnel, leadership, and governance matters.
  • Ability to work closely with deal teams, sponsors, clients, and senior corporate leaders in a fast-moving environment.

Compensation & Benefits

The stated salary range is $260,000–$390,000, with hours and merit bonus opportunities, excellent benefits, billable-hours credit for pro bono work, and a stated focus on supporting lawyers’ careers.
