Our client is seeking an associate for its Redwood City litigation practice, working on consequential disputes that can affect corporate transactions, governance, and business operations. The role is open to associates in the third- through fifth-year class and requires at least two years of securities litigation experience.
The Work
- Help represent companies, boards, financial institutions, and other clients in securities class actions, shareholder derivative suits, and stockholder disputes in federal and state courts.
- Contribute to litigation strategy and case development, including efforts to resolve claims efficiently and limit disruption to clients’ businesses.
- Work on disputes arising from public and private transactions, including fiduciary-duty claims, appraisal actions, disclosure suits, and corporate-control matters.
- Support deal-related litigation, including requests for preliminary injunctions that could delay or prevent a transaction from closing, and post-closing damages claims.
- Assist with contract and post-closing disputes involving material adverse effect provisions, covenant breaches, indemnification, representations and warranties, and earnouts.
- Participate in stockholder-demand and corporate-governance matters, including work aimed at resolving threatened claims or challenging standing and pleadings.
- Contribute to SEC and regulatory enforcement matters, investigations, and professional-liability litigation, including matters involving accounting firms and individual accountants.
- Work with the team on matters that may proceed through motion practice and trial, including significant corporate disputes in Delaware courts.
What You Bring
- At least two years of securities litigation experience; the position is intended for an associate in the third- through fifth-year class.
- Experience or substantive familiarity with securities disputes, including class actions, derivative litigation, or stockholder claims.
- Ability to contribute to litigation analysis and strategy in complex matters involving corporate transactions, governance, or regulatory issues.
- Strong legal research and written advocacy skills suited to developing pleadings, motions, and other litigation work product.
- Interest or experience in matters that may require coordination with clients and practical consideration of business objectives.

The estimated base salary range supplied for this search is $260,000–$365,000, based on the 2026 Cravath scale; actual compensation may differ.
