Our client is seeking a New York-based associate with 2–4 years of transactional tax experience to work on tax planning and structuring across a varied mix of corporate, partnership, finance, and restructuring transactions. The position requires in-person work.
The Work
- Research complex tax issues and apply the analysis to corporate and partnership transactions.
- Structure tax aspects of transactions, including matters involving mergers and acquisitions, private equity, debt finance, and private credit.
- Negotiate and draft tax-related provisions in purchase agreements and merger agreements.
- Prepare and negotiate tax provisions in partnership agreements and credit agreements.
- Support tax planning for bankruptcy and financial restructuring, special situations, and other relevant transactions.
What You Bring
- 2–4 years of transactional tax experience.
- Experience at a large law firm or equivalent experience at a Big Four accounting firm.
- Experience negotiating and drafting tax provisions in transaction documents.
- Experience researching complex tax issues and structuring corporate and partnership transactions.
- Transactional tax planning experience in one or more of mergers and acquisitions, private equity, debt finance, bankruptcy or financial restructuring, special situations, or private credit.
- Strong academic credentials and comparable law firm experience.

Compensation & Benefits
The stated New York City base salary range is $225,000–$415,000.
