Our client is seeking a Portland-based corporate transactional attorney to advise businesses, investors, and founders across pivotal stages of company growth. Work ranges from venture financings and company formation to middle-market acquisitions, with meaningful deal-team responsibility and direct collaboration with experienced attorneys and clients.
The Work
- Advise private companies, private equity sponsors, and other investors on middle-market transactions, including platform and add-on acquisitions, sale processes, joint ventures, and other strategic deals.
- Support transactions from structuring and due diligence through negotiation and closing, coordinating review and workstreams across deal teams.
- Draft and negotiate purchase agreements, financing documents, disclosure schedules, governance materials, ancillary agreements, and closing documents.
- Counsel emerging companies and founders on entity formation, governance, and day-to-day legal needs throughout the company lifecycle.
- Advise emerging growth companies and venture funds on seed, Series A, and later-stage equity financings.
- Counsel private company boards and private equity portfolio companies on corporate governance and related matters.
- Coordinate deal timelines and deliverables with management teams, sponsors, investors, and founders, collaborating with attorneys in tax, technology transactions, employment, intellectual property, privacy and security, environmental, and real estate practices.
What You Bring
- One to five years of law firm experience in corporate transactional practice.
- Experience with mergers and acquisitions, venture financings, emerging companies, or general corporate matters is preferred.
- Strong drafting and negotiation capabilities, with sound analytical judgment.
- Ability to manage multiple matters and workstreams in a fast-paced, team-oriented environment.
- Demonstrated interest in transactional work and advising private companies, investors, and founders.
- J.D. from an accredited law school and admission, or eligibility for admission, in Oregon.

Compensation & Benefits
The stated annual salary range is $215,000–$290,000, adjusted for job-related factors; eligible full-time employees may qualify for benefits and an annual discretionary bonus.
