Position overview

Our client is seeking a corporate associate to join its capital markets and public company practice in Redwood City. The opportunity is suited to an attorney with at least three years of relevant experience, with the position intended for the fourth- through sixth-year associate class.

The Work

  • Work on capital-raising matters involving a range of securities products, including public offerings and other debt and equity transactions.
  • Advise issuers, private equity investors, and investment banks on securities and listing issues in connection with complex transactions.
  • Contribute to IPOs and direct listings, helping clients navigate routes to the public markets.
  • Work on high-yield bond and derivatives matters as part of a broad capital markets practice.
  • Support financing strategies for clients pursuing strategic investments and acquisitions, including alternatives to conventional debt and equity raises.
  • Collaborate with a centralized National Office of former SEC senior officials and experienced capital markets lawyers on challenging securities and listing questions.

What You Bring

  • At least three years of experience in capital markets and/or public company representation.
  • Experience appropriate for consideration at the fourth- through sixth-year associate level.
  • Knowledge of securities offerings and the issues that arise in public company representation.
  • Ability to contribute to sophisticated capital-raising transactions, including debt and equity matters.
  • Experience or demonstrated capability advising on securities and listing issues.
  • Ability to work with clients such as issuers, private equity investors, and investment banks.

Estimated base compensation is $310,000–$390,000, based on 2026 scale assumptions; discretionary bonuses may be available depending on application circumstances and position.
