Our client is seeking an experienced corporate attorney to advise emerging businesses and the investors backing them. This San Francisco opportunity spans company formation through pre-IPO growth, with direct engagement across the startup ecosystem and work on both sides of venture transactions.
The Work
- Lead transactions for emerging-company clients, including SAFE and preferred stock financings, from early-stage rounds through pre-IPO growth.
- Advise founders, CEOs, management teams, and boards on corporate governance and general corporate matters throughout a company’s development.
- Counsel clients on formation and exits, handling a range of management needs as companies evolve.
- Represent venture capital firms and other institutional investors investing in emerging-growth companies, gaining experience on both sides of the negotiating table.
- Build relationships with current and future leaders in the private technology and life sciences company ecosystem.
- Work with clients in areas including artificial intelligence and machine learning, digital health and wellness, defense technology, life sciences, electronic gaming, and fintech.
What You Bring
- Four to eight years of experience in emerging companies and venture capital law.
- Demonstrated interest in high-growth private technology and life sciences companies and the investors who support them.
- Experience with venture financings, including SAFE and preferred stock transactions.
- Ability to advise founders, executives, management teams, and boards on corporate matters.
- Interest or experience in representing both company-side clients and venture capital or other investor-side clients.

Compensation & Benefits
The stated salary range is $310,000–$435,000 based on year classification, and discretionary merit bonuses may be awarded.
