Our client is seeking a New York-based associate to advise on complex debt financings from initial structuring and document negotiation through closing. The work spans sponsor, portfolio company, and lender representations, offering meaningful involvement across the life of leveraged transactions.
The Work
- Represent private equity sponsors and their portfolio companies, and/or financial institutions providing financing to private equity firms, in debt financing transactions.
- Assist clients with structuring and executing leveraged financings, including secured and unsecured lending, acquisition financings, recapitalizations, and related transactions.
- Draft, review, and negotiate credit agreements, bond indentures, commitment letters, term sheets, security agreements, guarantees, intercreditor agreements, and subordination agreements.
- Advise clients on legal risks, regulatory requirements, and market practices relevant to leveraged finance transactions.
- Coordinate closings by preparing checklists and managing transaction documentation and process in collaboration with clients and other stakeholders.
- Respond to clients’ ongoing compliance-related questions and help develop practical legal solutions.
- Contribute to business development through client presentations and thought leadership, while using AI tools responsibly and ethically to support document review and workflow efficiency.
What You Bring
- Juris Doctor degree from an accredited law school.
- Admission to the New York Bar and membership in good standing.
- Two to six years of relevant experience in leveraged finance or a related practice area.
- Drafting and negotiation skills in complex financial documents appropriate to experience level.
- Working knowledge of secured transactions, syndicated lending, and acquisition finance.
- Strong analytical and problem-solving abilities, with attention to detail and the ability to manage multiple matters and deadlines.
- Clear written and verbal communication skills for effective work with clients and colleagues.
- Professional judgment and integrity, including the ability to use AI technologies responsibly and ethically in legal practice.

Compensation & Benefits
The supplied estimated base compensation range is $235,000–$390,000, estimated from the 2026 Cravath base scale rather than stated by the employer.
