A confidential Boston opportunity is available for a mid-level finance lawyer to advise private equity sponsors, portfolio companies, and financing institutions on sophisticated leveraged transactions. The work spans structuring, execution, and ongoing client guidance.
The Work
- Assist private equity sponsors and their portfolio companies, as well as financial institutions financing private equity firms, with leveraged debt transactions.
- Advise clients on structuring and executing leveraged finance transactions, supporting matters from initial planning through closing.
- Draft and review credit agreements, high-yield bond indentures, commitment letters, and term sheets.
- Prepare and negotiate security and guarantee agreements, together with intercreditor and subordination agreements.
- Provide post-transaction legal guidance to help clients address compliance obligations, mitigate risk, and respond to relevant legal and industry developments.
What You Bring
- Four to five years of equivalent legal experience handling leveraged finance transactions at a large law firm.
- Experience representing private equity sponsors, corporate borrowers, and/or lenders in leveraged finance matters.
- Strong understanding of the structuring and execution of debt financing transactions.
- Experience drafting and reviewing core finance documents, including credit agreements and security, guarantee, and intercreditor agreements.
- Strong analytical ability and careful attention to detail when advising a diverse client base.
- Strong academic record and a J.D. from an accredited law school.
- Admission to and good standing with the Massachusetts Bar.
- Experience working in a global team environment is preferred.

Compensation & Benefits
