Our client is seeking a mid-level or senior associate with 4–7 years of experience to join its ERISA and Executive Compensation practice in New York City. The role focuses on advising public and private companies on tax and securities issues involving equity-based arrangements and other incentive compensation plans.
The Work
- Advise public and private companies on tax and securities law issues arising from equity-based compensation arrangements.
- Support the design and implementation of other types of incentive compensation plans for company clients.
- Work collaboratively with deal and practice teams while taking independent responsibility for assigned components of transactions.
- Apply executive compensation experience to matters involving both public and private companies.
- Contribute ERISA and employee benefit plan experience where relevant to compensation and benefits matters.
What You Bring
- Four to seven years of relevant legal experience, with a background appropriate for a mid-level or senior associate role.
- Experience representing public companies on tax and securities law issues related to equity-based arrangements and incentive compensation plans.
- Experience representing private companies on tax and securities law issues related to equity-based arrangements and incentive compensation plans.
- Ability to work effectively as part of a team and independently manage components of transactions.
- Additional experience with ERISA and employee benefit plans is a plus.

Compensation & Benefits
The estimated salary range is $310,000–$420,000, based on the 2026 Cravath base scale; it is an estimate rather than firm-stated compensation.
