Position overview

Our client is seeking a mid-level or senior associate with 4–7 years of experience to join its ERISA and Executive Compensation practice in Redwood City. The role involves advising public and private companies on tax and securities law issues relating to equity-based arrangements and other incentive compensation plans.

The Work

  • Advise public and private companies on tax and securities law issues arising in connection with equity-based compensation arrangements.
  • Work on other types of incentive compensation plans, contributing legal analysis tailored to company matters.
  • Collaborate with transaction teams and contribute to the execution of matters involving compensation arrangements.
  • Independently manage components of transactions while coordinating that work with the broader team.
  • Bring ERISA and employee benefit plan considerations into relevant matters where applicable.

What You Bring

  • 4–7 years of relevant legal experience.
  • Experience representing public and private companies on tax and securities law issues relating to compensation arrangements.
  • Specific experience with equity-based arrangements and other incentive compensation plans.
  • Ability to work effectively as part of a team and manage components of transactions independently.
  • Additional experience with ERISA and employee benefit plans is a plus.

Compensation & Benefits

The compensation range supplied for the search is an estimate of $310,000–$420,000 based on the 2026 Cravath base scale; it is not firm-stated compensation.
