Our client is seeking a mid-level or senior associate with 4–7 years of experience to join its ERISA and Executive Compensation practice in Boston. The role focuses on advising public and private companies on tax and securities issues related to equity-based arrangements and other incentive compensation plans.
The Work
- Advise public and private companies on tax and securities law issues arising in connection with equity-based arrangements and other incentive compensation plans.
- Contribute to transaction teams handling matters involving executive compensation arrangements, working collaboratively while managing selected components independently.
- Take ownership of discrete transaction components, coordinating the work involved and contributing to the advice provided to company clients.
- Support clients on compensation-related matters involving both equity-based plans and other forms of incentive compensation.
What You Bring
- Four to seven years of relevant associate experience, at a mid-level or senior level.
- Experience advising public and private companies on tax and securities issues related to compensation arrangements.
- Specific experience with equity-based arrangements and other types of incentive compensation plans.
- Ability to work effectively as part of a team and independently manage components of transactions.
- Experience with ERISA and employee benefit plans is a plus.

Compensation & Benefits
The supplied compensation range of $310,000–$420,000 is an estimate based on the 2026 Cravath base scale, not confirmed firm-stated compensation.
