Our client is seeking a mid-level or senior associate with 4–7 years of experience to join its ERISA and Executive Compensation practice in Santa Monica. The role involves advising public and private companies on tax and securities law issues relating to equity-based arrangements and other incentive compensation plans.
The Work
- Advise public and private companies on tax and securities law considerations affecting equity-based compensation arrangements and other incentive compensation plans.
- Work collaboratively with deal teams on transactions and manage assigned components independently, taking ownership of workstreams as appropriate.
- Support the structuring and implementation of equity-based arrangements and incentive plans in connection with company transactions and other corporate matters.
- Address ERISA and employee benefit plan issues as they arise in client matters, with the opportunity to apply prior experience in these areas.
- Communicate with client teams on assigned matters and help coordinate the compensation-related work with broader transaction needs.
What You Bring
- 4–7 years of relevant experience, with consideration for mid-level and senior associate candidates.
- Experience advising public and private companies on executive compensation matters.
- Specific experience with tax and securities law issues relating to equity-based arrangements and other incentive compensation plans.
- Ability to work effectively as part of a transaction team while independently managing components of transactions.
- Strong analytical, drafting, and client-service capabilities relevant to compensation and transactional work.
- Experience with ERISA and employee benefit plans is a plus.

Compensation & Benefits
The supplied base compensation figure is an estimate of $310,000–$420,000 based on the 2026 Cravath base scale and is not a firm-confirmed range.
