Our client seeks a 3rd- to 7th-year associate in San Francisco for a national, sponsor-focused practice advising on clean energy development and commercial transactions. The work brings together project contracts, acquisitions, financing support, and evolving energy needs across established and emerging technologies.
The Work
- Draft and negotiate power purchase agreements, energy service contracts, and other offtake arrangements supporting energy project development.
- Structure and negotiate framework commercial agreements and joint venture transactions for energy-sector clients.
- Serve as a go-to associate on project and portfolio acquisitions, coordinating transaction work and providing related financing support.
- Work across solar, wind, geothermal, natural gas, battery, and nuclear projects, adapting commercial structures to different technologies and counterparties.
- Advise on energy procurement for a range of buyers, including utilities, data centers, and commercial and industrial customers pursuing behind-the-meter energy, storage, and efficiency solutions.
- Collaborate with an integrated team working across project development and commercial transactions, project finance and securitization, corporate finance, and energy regulatory matters.
- Maintain direct, day-to-day communication with clients, partners, and counterparty counsel while managing transaction workstreams.
What You Bring
- Three to seven years of relevant associate experience, with a transactional focus in the energy sector.
- Experience or demonstrated interest in drafting and negotiating power purchase agreements, energy service contracts, or other project offtake arrangements.
- Ability to work on framework commercial agreements and joint venture transactions.
- Experience or interest in project and portfolio acquisitions, with familiarity supporting related financing work.
- Strong communication and project management skills, including the ability to work directly with clients and counterparty counsel.
- Interest in developing deep experience structuring energy offtake transactions across varied markets, regulatory requirements, technologies, and customer types.
- Ability to adapt commercial structures to projects involving renewable generation, storage, conventional or advanced energy technologies, and evolving energy buyers.

Compensation & Benefits
The stated salary range is $260,000–$420,000 by year classification, with discretionary merit bonuses potentially available, along with benefits including healthcare, paid parental leave, retirement savings, wellness support, and firm-paid CLE and bar dues.
