Position overview

Our client is seeking a New York attorney with 3–6 years of employment experience to advise on workforce issues that arise in corporate transactions. The position combines hands-on deal work for private equity clients and strategic investors with client counseling and employment dispute matters.

The Work

  • Advise on employment aspects of private equity and M&A transactions for private equity clients and strategic investors, working with senior attorneys on deal strategy and legal considerations.
  • Draft and negotiate employment agreements, offer letters, separation agreements, and restrictive covenant agreements, including research into applicable state-law requirements.
  • Participate in management due diligence calls and negotiate principal and ancillary transaction documents, including purchase and sale agreements and disclosure schedules.
  • Work on employee leasing agreements, management restrictive covenant agreements, partnership agreements, limited liability company agreements, and employment agreements as part of transaction negotiations.
  • Counsel clients on wage and hour, discrimination, performance, discipline, leave of absence, and disability issues, applying legal principles to the specific facts and transaction context.
  • Analyze the legal and factual background of pre-litigation disputes and litigation matters, help develop case strategy, and prepare court and agency filings and responses.
  • Handle employment dispute matters and investigations alongside transactional work, coordinating with senior attorneys and clients as matters progress.

What You Bring

  • Three to six years of legal experience, including at least three years of substantial work on employment aspects of private equity or M&A transactions.
  • Experience drafting and negotiating employment agreements, offer letters, restrictive covenant agreements, and separation agreements.
  • Experience handling employment disputes, investigations, or both.
  • Working knowledge of employment issues that arise in corporate transactions and the ability to research applicable state-law requirements.
  • Strong legal writing and analytical skills, including the ability to assess facts and contribute to dispute strategy and court or agency filings.
  • Excellent attention to detail, strong interpersonal and client-management skills, and the ability to manage competing priorities in a fast-paced, deadline-driven environment.
  • Excellent academic credentials.
  • Admission to practice in New York, or eligibility to obtain New York admission promptly.

Compensation & Benefits

Estimated base compensation is $260,000–$390,000, based on the 2026 Cravath base scale; this is an estimate, not firm-stated compensation.
