Position overview

Our client is seeking a San Francisco associate with 2–6 years of experience in executive compensation and employee benefits. The role offers substantive involvement in transactional and advisory work for companies, investors, and executives across private equity and public company matters.

The Work

  • Advise on executive compensation and employee benefits issues in private equity and public company transactions, including mergers and acquisitions, IPOs, and asset sales.
  • Develop strategies and counsel companies, investors, and executives on executive compensation and benefits matters, including applicable legal and regulatory requirements.
  • Support the design, implementation, and administration of executive compensation plans and programs.
  • Draft and review employment agreements, executive employment contracts, severance agreements, and other compensation-related documents; assist with negotiation as appropriate.
  • Analyze compliance questions involving ERISA, tax laws, securities regulations, and relevant federal and state requirements.
  • Coordinate with corporate and tax colleagues to provide integrated advice on transaction-related compensation and benefits issues.
  • Research legal developments and industry trends relevant to executive compensation and employee benefits.

What You Bring

  • 2–6 years of legal experience working on transactional executive compensation and employee benefits matters, preferably in a law firm.
  • Juris Doctor degree from an accredited law school and strong academic standing.
  • Admission to practice in California or eligibility for prompt admission.
  • Knowledge of laws and regulations relevant to executive compensation and employee benefits, including ERISA, tax, and securities considerations.
  • Experience drafting and reviewing employment and compensation-related agreements and advising on transactional matters.
  • Strong analytical skills and careful attention to detail.
  • Ability to work independently and collaboratively with colleagues across practice groups.
  • Practical experience with and familiarity with legal AI tools is preferred.

Compensation & Benefits

The supplied estimated base range is $235,000–$390,000, based on the 2026 Cravath scale; this is an estimate, not firm-stated compensation.
