Our client is seeking a New York associate with 2–6 years of experience to advise companies, investors, and executives on executive compensation and employee benefits matters. The work combines transaction-focused counseling with plan design, employment documentation, and compliance analysis.
The Work
- Handle executive compensation and employee benefits workstreams in private equity and public-company transactions, including mergers and acquisitions, IPOs, and asset sales.
- Advise companies, investors, and executives on compensation and benefits issues, helping develop strategies that address client objectives and applicable legal requirements.
- Draft and review employment agreements, executive employment contracts, severance agreements, and other compensation-related documents, including supporting negotiation efforts.
- Assist with the design, implementation, and administration of executive compensation plans and programs.
- Research and analyze federal and state requirements and advise on compliance involving ERISA, tax laws, and securities regulations.
- Work collaboratively with corporate, tax, and other practice colleagues to provide coordinated client representation and practical solutions.
What You Bring
- Two to six years of legal experience working on transactional executive compensation and employee benefits matters.
- A Juris Doctor degree from an accredited law school and strong academic standing.
- Admission to practice in New York or eligibility for prompt admission.
- Knowledge of laws and regulations relevant to executive compensation and employee benefits, including ERISA, tax, and securities requirements.
- Experience drafting and reviewing employment, severance, and other compensation-related agreements and documents.
- Strong analytical skills, attention to detail, and the ability to conduct legal research and assess regulatory developments.
- Ability to work independently while contributing effectively in collaborative, cross-practice teams.
- Practical familiarity with legal AI tools is preferred.

Compensation & Benefits
The supplied base compensation range is an estimate of $235,000–$390,000 based on the 2026 Cravath base scale, not confirmed firm-stated compensation.
