Position overview

Our client is seeking a Boston-based associate with 2–6 years of experience to advise on executive compensation and employee benefits in significant corporate transactions. The work spans deal execution, plan design, employment arrangements, and compliance, serving companies, investors, and executives.

The Work

  • Advise on executive compensation and employee benefits aspects of private equity and public-company transactions, including mergers and acquisitions, IPOs, and asset sales.
  • Counsel companies, investors, and executives on compensation and benefits issues, developing practical strategies for their business and transactional needs.
  • Draft and review employment agreements, executive employment contracts, severance agreements, and other compensation-related documents.
  • Assist with the design, implementation, and administration of executive compensation plans and programs.
  • Analyze compliance requirements under ERISA, tax laws, securities regulations, and applicable federal and state laws.
  • Collaborate with corporate and tax colleagues to coordinate advice and provide comprehensive client representation.

What You Bring

  • Two to six years of legal experience involving transactional executive compensation and employee benefits matters.
  • Experience with M&A-related executive compensation and employee benefits work; law firm experience is preferred.
  • Strong knowledge of relevant laws and regulations, including ERISA, tax laws, and securities regulations.
  • Demonstrated ability to draft and review employment, executive compensation, and severance documents.
  • J.D. from an accredited law school and strong academic standing.
  • Admission to practice in Massachusetts, or eligibility for prompt admission.
  • Careful analytical skills and attention to detail, with the ability to work independently and collaboratively.
  • Practical experience with and familiarity with legal AI tools is preferred.

Compensation & Benefits

Estimated compensation is $235,000–$390,000 based on the 2026 Cravath base scale; this is an estimate, not firm-stated compensation.
