Our client is seeking an employment lawyer to work at the intersection of corporate transactions and workplace matters in Chicago. This role offers meaningful exposure to private equity and strategic investor deals, alongside employment counseling and dispute work.
The Work
- Advise private equity clients and strategic investors on employment issues arising in a range of corporate transactions, working with senior attorneys on deal strategy and legal considerations.
- Draft and negotiate employment agreements, offer letters, separation agreements, and restrictive covenant agreements, and research applicable state-law requirements.
- Participate in management due diligence calls and help identify and assess employment-related risks and considerations in proposed transactions.
- Negotiate principal and ancillary transaction documents, including purchase and sale agreements, disclosure schedules, employee leasing agreements, management restrictive covenant agreements, partnership agreements, and LLC agreements.
- Counsel clients on wage and hour, discrimination, performance, discipline, leave, and disability issues, applying legal principles to varied factual circumstances.
- Analyze pre-litigation disputes and litigation matters, work with senior attorneys on case strategy, and prepare and finalize court and agency filings and responses.
What You Bring
- At least three years of substantial experience with employment aspects of private equity or M&A transactions.
- Experience drafting and negotiating employment-related agreements, including employment agreements or offer letters, restrictive covenant agreements, and separation agreements.
- Experience handling employment disputes, investigations, or both.
- Knowledge of employment law issues that arise in corporate transactions and the ability to research applicable state-law requirements.
- Strong drafting, negotiation, and analytical skills, including the ability to apply legal principles to varied factual scenarios.
- Excellent academic credentials and admission to practice in Illinois, or eligibility to obtain Illinois admission promptly.
- Strong attention to detail, interpersonal skills, and client-management ability.
- Ability to manage competing priorities in a fast-paced, deadline-driven environment.
