Position overview

Our client is seeking a Boston-based employment associate with 3–6 years of substantial experience on employment matters arising in private equity and M&A transactions. The practice combines deal-focused counseling and document negotiation with employment disputes and investigations, giving associates a varied role alongside senior attorneys and direct involvement in client matters.

The Work

  • Advise private equity clients and strategic investors on employment issues across corporate transactions, including structuring considerations, market practices, and applicable legal requirements.
  • Draft and negotiate employment agreements, offer letters, separation agreements, and restrictive covenant agreements, and research state-law requirements relevant to those documents.
  • Participate with senior attorneys in management due diligence calls and negotiate principal and ancillary transaction documents, including purchase and sale agreements and disclosure schedules.
  • Work on employee leasing agreements, management restrictive covenant agreements, partnership agreements, limited liability company agreements, and employment agreements in connection with deals.
  • Counsel on employment issues involving wage and hour, discrimination, performance, discipline, leave of absence, and disability, applying legal principles to specific client circumstances.
  • Analyze factual and legal issues in pre-litigation disputes, litigation matters, and employment investigations; assist senior attorneys with case strategy and prepare court and agency filings and responses.

What You Bring

  • At least three years of substantial experience handling employment aspects of private equity or M&A transactions; candidates with 3–6 years of experience are sought.
  • Experience drafting and negotiating employment-related agreements, including employment agreements or offer letters, restrictive covenant agreements, and separation agreements.
  • Experience handling employment disputes and/or employment investigations.
  • Ability to analyze employment issues arising in transactions and provide practical advice on matters such as wage and hour, discrimination, performance, discipline, leave, and disability.
  • Strong attention to detail, interpersonal skills, and client-management abilities.
  • Ability to manage priorities in a fast-paced, deadline-driven environment.
  • Excellent academic credentials.
  • Admission to practice in Massachusetts, or eligibility to obtain admission promptly.

Compensation & Benefits

The estimated base salary range is $260,000–$390,000, based on the 2026 Cravath base scale; it is an estimate rather than firm-stated compensation.
