You will work across key stages of complex matters, helping assess risk, prepare deal documents, coordinate execution, and support client objectives.

The Work

  • Support CMBS transactions from initial diligence and analysis through structuring, negotiation, closing, and post-closing activities.
  • Review diligence materials, identify legal and business risks, and help develop practical recommendations for clients.
  • Draft, review, negotiate, and revise transaction documents, disclosure schedules, correspondence, and ancillary agreements.
  • Help coordinate deal timelines and workstreams, communicate with transaction parties, and keep execution moving toward closing.
  • Participate in negotiations and work with clients, counterparties, lenders, investors, and other stakeholders as matters require.
  • Collaborate with lawyers and business professionals across practices and offices on complex domestic and cross-border finance and real estate matters.

What You Bring

  • A JD from an accredited law school and admission to practice in the state where the position is based.
  • Strong legal research, analysis, writing, and problem-solving skills.
