Position overview

Our client is seeking a Senior Associate or Counsel with 3–6 years of experience to join its growing Corporate and Private Equity Department in Chicago. The practice handles a broad range of private equity transactions and fund matters, representing sponsors, general partners, and investors.

The Work

  • Represent clients in leveraged buyouts, including work involving private equity sponsors and their investment transactions.
  • Work on independent sponsor transactions and rollups, with exposure to a range of private equity deal structures.
  • Advise on minority and junior capital investments and going-private transactions.
  • Handle acquisitions of troubled companies, including transactions involving companies in or outside of bankruptcy.
  • Represent emerging managers and other general partners in forming private equity, growth equity, venture capital, mezzanine, and real estate funds.
  • Advise significant limited partners in connection with fund matters and investments.

What You Bring

  • 3–6 years of legal experience relevant to corporate and private equity practice.
  • Experience or demonstrated capability in private equity transactions, including leveraged buyouts or other sponsor-related deals.
  • Knowledge of corporate transaction structures such as independent sponsor transactions, rollups, or minority and junior capital investments.
  • Capability to work on fund formation matters involving private equity, growth equity, venture capital, mezzanine, or real estate funds.
  • Ability to support representation of emerging managers, general partners, limited partners, or other private equity participants.
  • Interest in a Senior Associate or Counsel role within a growing corporate and private equity practice.

Compensation & Benefits

The stated salary range is $390,000–$425,000, with hours and merit bonus opportunities, excellent benefits, and billable-hour credit for pro bono work.
