Position overview

Our client is seeking an experienced attorney to support a sophisticated private equity platform in a San Francisco Asset Management role. You will serve as a dedicated legal resource for a high-volume workflow spanning fund operations, investment transactions, management company matters, and related governance, with a hybrid arrangement and periodic in-office or client-facing presence.

The Work

  • Provide day-to-day legal support for fund operations, including confidentiality agreements, intercompany agreements, and related asset management matters.
  • Draft, review, and negotiate fund-interest transfer agreements, transfer consents, and supporting due diligence materials.
  • Support management company and general partner entity matters, including organizational documents, internal economic arrangements, award agreements, and vesting schedules.
  • Assist with fund formation, co-investments, upper-tier carried-interest grants, and related fund-management and governance matters.
  • Coordinate with legal, finance, tax, compliance, management, and investor relations teams to implement transactions accurately and maintain clear records.
  • Manage a steady pipeline of recurring matters, independently tracking workstreams, deliverables, and deadlines in a fast-paced environment.
  • Improve forms and recurring workflows, and develop precedent resources that promote consistency and help reduce legal and operational risk.

What You Bring

  • At least five years of relevant law firm and/or in-house experience in private equity, asset management, investment funds, fund formation, or fund management.
  • Juris Doctor degree from an accredited law school and admission in good standing to the bar in the relevant office jurisdiction.
  • Substantial experience with fund-related agreements, fund operations, transfer documentation, and related governance matters.
  • Knowledge of carried-interest arrangements and management incentive structures.
  • Strong drafting, legal analysis, organization, and project-management skills, including the ability to handle high-volume matters independently and accurately.
  • Ability to build trusted relationships and serve as a practical, responsive legal partner to clients and cross-functional teams.
  • Experience developing or maintaining document templates, playbooks, precedent libraries, or knowledge-management resources.
  • Ability to use artificial intelligence technologies responsibly and ethically, including protecting confidentiality, verifying outputs, and applying independent legal judgment.
