Our client is seeking an experienced attorney to serve as a dedicated legal resource for a high-volume private equity client workflow in New York City. This full-time role spans fund operations, investment funds, management company matters, and related transactional and governance work.
The Work
- Provide day-to-day legal support for fund operations, including confidentiality agreements, intercompany agreements, and related asset management matters.
- Draft, review, and negotiate transfer agreements for fund interests, including transfer consents and related due diligence materials.
- Support fund formation, co-investments, and ongoing fund management matters across a sophisticated investment platform.
- Advise on management company and general partner entity matters, including organizational documents and internal economic arrangements.
- Prepare and review award agreements, vesting schedules, and upper-tier carried interest grants.
- Coordinate transaction implementation with legal, finance, tax, compliance, management, and investor relations teams, maintaining accurate records and clear workstreams.
- Manage recurring matters, deadlines, and deliverables while improving forms, developing precedent resources, and streamlining repeatable processes.
What You Bring
- At least five years of relevant experience at a law firm and/or in-house legal department at a private equity, asset management, or similar organization.
- Substantial experience in private equity, fund formation, investment funds, or fund management matters.
- Knowledge of fund-related agreements, carried interest arrangements, management incentive structures, transfer documentation, and related governance.
- Strong drafting and legal analysis skills, with the judgment to deliver practical, accurate advice in a fast-paced environment.
- Ability to independently manage a high volume of matters, organize workstreams, and track deadlines and deliverables.
- Experience building or maintaining document templates, playbooks, precedent libraries, or knowledge management resources.
- Ability to build trusted relationships and work responsively with clients and cross-functional teams.
- Juris Doctor from an accredited law school and admission in good standing to the bar in the relevant office jurisdiction.
- Proficiency using artificial intelligence responsibly and ethically, including protecting confidentiality, verifying outputs, and applying independent legal judgment.

Compensation & Benefits
