Position overview

Our client is seeking an experienced attorney to serve as a dedicated legal resource in a high-volume asset management workflow for one of its largest private equity clients, with responsibility spanning recurring fund and management-company matters. This Boston-based role calls for sound judgment, strong drafting, and the ability to build trusted working relationships across client and internal teams.

The Work

  • Provide day-to-day legal support for fund operations, including drafting and reviewing confidentiality agreements, intercompany agreements, and related asset management documents.
  • Draft, review, and negotiate fund-interest transfer agreements and supporting documentation, including transfer consents and due diligence materials.
  • Support management-company and general-partner entity matters by preparing organizational documents, internal economic arrangements, award agreements, and vesting schedules.
  • Support fund formation, co-investments, upper-tier carried-interest grants, and related fund operations for a sophisticated private equity platform.
  • Coordinate with legal, finance, tax, compliance, management, and investor relations teams to implement transactions accurately and maintain clear records.
  • Manage a steady pipeline of recurring matters, monitor deliverables and deadlines, and maintain organized records, templates, and workstreams.
  • Identify ways to improve forms, build precedent resources, streamline repeatable workflows, and reduce legal and operational risk.

What You Bring

  • At least five years of relevant experience at a law firm and/or in-house legal department at a private equity firm, asset management firm, or similar environment.
  • Substantial experience with private equity, fund formation, investment funds, or fund management matters.
  • Juris Doctor degree from an accredited law school and admission in good standing to the Massachusetts bar.
  • Strong drafting and legal analysis skills, with knowledge of fund-related agreements, carried-interest arrangements, management incentive structures, transfer documentation, and related governance matters.
  • Ability to manage a high volume of matters independently and accurately, with strong organization and project management skills.
  • Capacity to build trusted relationships with clients and cross-functional teams and to serve as a practical, responsive legal partner.
  • Experience developing or maintaining document templates, playbooks, precedent libraries, or knowledge-management resources.
  • Ability to use artificial intelligence technologies responsibly and ethically, including protecting confidentiality, verifying outputs, identifying appropriate use cases, and exercising independent legal judgment.

Compensation & Benefits

The position has a hybrid arrangement with periodic in-office or client-facing presence, a firm-stated base salary range of $290,000–$375,000, and eligibility for a discretionary year-end bonus.
