Our client is seeking a Business Tax Associate with at least three years of law firm tax experience to join a nationally recognized transactional tax team in Washington, DC. The practice advises on sophisticated domestic and cross-border transactions and works closely with corporate, private equity, finance, and investment funds teams.
The Work
- Advise on the tax aspects of taxable and tax-free mergers and acquisitions, buyouts, restructurings, joint ventures, and other business transactions.
- Support cross-border acquisitions, financings, and inbound and outbound international investments, addressing applicable tax issues in coordination with deal teams.
- Work on private investment fund formations and sponsor-level planning, including GP stakes and secondary transactions.
- Analyze and help structure partnership, LLC, and corporate reorganizations to support client business objectives and manage tax exposure.
- Contribute to financings and transactions involving new markets, historic, low-income housing, and energy tax credits.
- Analyze complex tax questions, prepare tax memoranda, and draft and negotiate tax provisions in transaction documents.
- Manage multiple ongoing matters and collaborate with partners and lawyers across corporate, private equity, finance, and investment funds practices.
What You Bring
- At least three years of law firm tax experience.
- An LL.M. in taxation.
- Strong technical tax skills and the ability to analyze complex tax issues.
- Experience drafting and negotiating tax provisions and preparing tax memoranda.
- Excellent academic credentials.
- Strong writing, analytical, communication, and organizational skills.
- Sound judgment and the ability to manage multiple matters in a demanding deal environment.
- Ability to collaborate across practice groups and contribute to practical, business-oriented client advice.

Compensation & Benefits
