Our client is seeking a Business Tax Associate with at least three years of law firm tax experience to join its Business Tax Group in San Francisco. The team advises on sophisticated domestic and cross-border transactions, working closely with corporate, private equity, finance, and investment funds practices to provide practical, business-oriented tax advice.
The Work
- Advise on the tax aspects of taxable and tax-free mergers and acquisitions, buyouts, restructurings, and other business transactions for public and private companies and other market participants.
- Support cross-border acquisitions, financings, and inbound and outbound international investments, analyzing tax considerations across applicable jurisdictions.
- Work on private equity transactions, private investment fund formations, sponsor-level planning, GP stakes, and secondary transactions.
- Advise on joint ventures, corporate reorganizations, and partnership and LLC structuring, helping clients align tax structures with business objectives.
- Handle tax aspects of tax credit investments, including transactions involving new markets, historic, low-income housing, and energy tax credits.
- Analyze complex tax issues, draft and negotiate transaction tax provisions, and prepare tax memoranda for client matters.
- Collaborate directly with partners whose practices span corporate, partnership, international, fund, nonprofit, and tax credit matters, and coordinate across related practice groups in a fast-paced deal environment.
What You Bring
- At least three years of law firm tax experience.
- An LL.M. in taxation and excellent academic credentials.
- Strong technical tax skills and the ability to analyze complex transactional tax issues.
- Experience drafting and negotiating tax provisions and preparing tax memoranda.
- Ability to manage multiple ongoing transactions in a demanding deal environment.
- Strong judgment and the ability to develop practical, business-oriented advice.
- Excellent writing, analytical, communication, and organizational skills.
- Ability to work collaboratively across practice groups and with clients.

Compensation & Benefits
