Position overview

Our client is seeking a Business Tax Associate with at least three years of law firm tax experience to join its collaborative transactional tax practice in Los Angeles. The role offers exposure to sophisticated domestic and cross-border transactions and close collaboration with corporate, private equity, finance, and investment funds teams.

The Work

  • Advise on tax aspects of taxable and tax-free mergers and acquisitions, buyouts, restructurings, and other business transactions involving public and private companies.
  • Support cross-border acquisitions, financings, and inbound and outbound international investments, analyzing tax issues and helping clients manage tax exposure and comply with evolving laws.
  • Work on private investment fund formations and sponsor-level planning, including GP stakes and secondary transactions.
  • Advise on joint ventures, corporate reorganizations, and partnership and LLC structuring, coordinating with colleagues across transactional practices.
  • Contribute to tax credit investments involving new markets, historic, low-income housing, and energy tax credits.
  • Analyze complex tax questions, draft and negotiate transaction tax provisions, and prepare tax memoranda that deliver practical, business-oriented advice.
  • Work directly with partners whose practices span corporate, partnership, international, fund, nonprofit, and tax credit matters, while managing multiple ongoing transactions.
  • Support clients including public and private companies, private equity funds, investment banks, family offices, fund sponsors, and nonprofit organizations.

What You Bring

  • At least three years of law firm tax experience.
  • An LL.M. in taxation is required.
  • Strong technical tax skills and the ability to analyze complex tax issues in transactional settings.
  • Experience or capability in drafting and negotiating tax provisions and preparing tax memoranda.
  • Excellent academic credentials, writing ability, analytical skills, and judgment.
  • Strong communication and organizational skills, including the ability to manage multiple ongoing transactions in a demanding deal environment.
  • Ability to collaborate across practice groups and provide practical, business-oriented advice.

Compensation & Benefits
