Our client is seeking a Business Tax Associate with at least three years of law firm tax experience to join a collaborative transactional tax group in Charlotte. The associate will advise on sophisticated domestic and cross-border transactions alongside partners and colleagues in corporate, private equity, finance, and investment funds practices.
The Work
- Advise on the tax aspects of taxable and tax-free mergers and acquisitions, buyouts, restructurings, and other business transactions for public and private companies and market participants.
- Work on cross-border acquisitions, financings, and inbound and outbound investments, analyzing relevant tax issues and helping clients manage tax exposure and comply with evolving laws.
- Support private equity transactions, private investment fund formations, and sponsor-level planning, including GP stakes and secondary transactions.
- Assist with joint ventures, corporate reorganizations, and partnership and LLC structuring, developing tax approaches aligned with clients’ business objectives.
- Advise on tax credit investments, including transactions involving new markets, historic, low-income housing, and energy tax credits.
- Draft and negotiate tax provisions, prepare tax memoranda, and analyze complex tax questions in support of active transactions.
- Manage multiple ongoing matters and collaborate directly with partners and adjacent practice groups to deliver practical, business-oriented advice to clients.
What You Bring
- At least three years of law firm tax experience.
- An LL.M. in taxation is required.
- Strong technical tax skills and the ability to analyze complex tax issues in transactional settings.
- Experience or capability in drafting and negotiating tax provisions and preparing tax memoranda.
- Excellent academic credentials.
- Strong writing, analytical, communication, and organizational skills.
- Sound judgment and the ability to manage multiple matters in a demanding deal environment.
- Ability to collaborate across practice groups and provide practical, business-oriented advice.
