Position overview

Our client is seeking a Business Tax Associate with at least three years of law firm tax experience to join a nationally recognized transactional tax team. The position offers work on sophisticated domestic and cross-border transactions, close collaboration with partners and related practices, and opportunities to provide practical tax advice to a wide range of business and investment clients.

The Work

  • Advise on tax aspects of domestic and cross-border mergers and acquisitions, including taxable and tax-free transactions and acquisitions involving public and private companies.
  • Support buyouts, private equity transactions, cross-border financings, and related corporate and investment matters.
  • Work on private investment fund formations and sponsor-level planning, including GP stakes and secondary transactions.
  • Advise on joint ventures, corporate reorganizations, and partnership and LLC structuring.
  • Handle tax aspects of tax credit investments involving new markets, historic, low-income housing, and energy credits.
  • Analyze complex tax issues, prepare tax memoranda, and draft and negotiate tax provisions in transaction documents.
  • Collaborate with corporate, private equity, finance, and investment funds colleagues while managing multiple ongoing transactions.
  • Help clients structure transactions to achieve business objectives, manage tax exposure, and address evolving federal, state, and international tax laws.

What You Bring

  • At least three years of law firm tax experience.
  • LL.M. in taxation required.
  • Strong technical tax skills and the ability to analyze complex tax issues.
  • Experience drafting and negotiating tax provisions and preparing tax memoranda.
  • Ability to manage multiple matters in a demanding transaction environment and exercise sound judgment.
  • Excellent academic credentials and strong writing, analytical, communication, and organizational skills.

Compensation & Benefits

The stated salary range is $260,000 to $410,000, and the position includes excellent benefits, hours and merit bonus opportunities, billable-hours credit for pro bono work, and career support.
