A growing corporate practice is seeking a San Francisco transactional lawyer to advise companies, investors and founders on consequential deals and business decisions. Work across middle-market transactions, venture financings and the full lifecycle of emerging companies while building client relationships and taking on meaningful responsibility within collaborative deal teams.
The Work
- Advise private companies, private equity sponsors and other investors on platform acquisitions, add-on acquisitions, sale processes, joint ventures and other middle-market strategic transactions.
- Support venture financings for emerging growth companies and funds, including seed, Series A and later-stage equity rounds.
- Counsel private company boards and private equity portfolio companies on corporate governance and related business matters.
- Advise founders and emerging companies on entity formation, governance and day-to-day legal needs as their businesses develop.
- Handle transaction structuring, due diligence, negotiation and closing, including drafting and negotiating purchase agreements, financing documents, disclosure schedules, governance materials and ancillary documents.
- Coordinate diligence reviews and deal workstreams, and work with management teams, sponsors, investors and founders on timelines and deliverables.
- Collaborate with attorneys in related areas, including tax, technology transactions, employee benefits, employment, intellectual property, privacy and security, environmental and real estate.
What You Bring
- One to five years of law firm experience in corporate transactional practice.
- Experience with mergers and acquisitions, venture financings, emerging companies or general corporate matters is preferred.
- Strong drafting and negotiation skills, with the ability to contribute to transaction documents and work through deal issues.
- Sound analytical and organizational capabilities, including the ability to manage multiple matters and workstreams in a fast-paced, team-oriented setting.
- Demonstrated interest in transactional practice and advising private companies, investors and founders.
- J.D. from an accredited law school and admission, or eligibility for admission, in California.

Compensation & Benefits
The stated annual salary range is $215,000–$290,000, adjusted based on job-related factors; eligible full-time employees may also be eligible for a discretionary annual bonus and benefits that include medical, dental and vision coverage, retirement planning, paid holidays and paid time off.
