Position overview

Our client is seeking a mid-level attorney to work across a wide range of corporate transactions and Delaware-law matters. The practice combines deal work with advice on fiduciary duties, corporate governance, and alternative entities, serving both clients and lawyers within the firm.

The Work

  • Work on mergers and acquisitions and other corporate transactions, contributing to matters across the deal lifecycle.
  • Assist with recapitalizations and private equity investments, addressing the corporate and transactional issues involved in these matters.
  • Work on joint ventures and restructurings as part of a practice handling a variety of transactional matters.
  • Advise clients on Delaware-law aspects of transactions, including issues that arise in structuring and executing corporate deals.
  • Counsel clients and other firm lawyers on fiduciary duties and corporate governance matters under Delaware law.
  • Handle general corporate and alternative entity law matters, with a focus on Delaware limited liability companies and limited partnerships.

What You Bring

  • Approximately four years of relevant experience, with candidates in the Class of 2022 through 2020 range sought.
  • Experience with mergers and acquisitions and other corporate transactions.
  • Knowledge of general corporate law and the ability to contribute to a broad range of transactional matters.
  • Familiarity with Delaware law issues arising in transactions, fiduciary duties, and corporate governance.
  • Experience or a strong foundation in alternative entity law, particularly Delaware limited liability companies and limited partnerships.

Compensation & Benefits

The stated base salary range is $310,000 to $390,000, with eligibility for a discretionary year-end bonus.
