Our client is seeking a junior associate in Palo Alto to help corporate and transactional teams resolve data-related issues that shape major deals. You will work on privacy, data processing, and cybersecurity questions for companies in fast-moving technology sectors, translating evolving requirements into clear contractual provisions and practical advice.
The Work
- Advise on privacy, data processing, and cybersecurity issues in mergers and acquisitions, public offerings, and other commercial and strategic transactions.
- Work alongside corporate and transactional teams to identify how data-related issues affect a live deal and help address them in transaction documents.
- Shape data provisions and related contractual protections, including issues concerning data movement, control, and potential problems.
- Translate fast-moving regulatory developments into clear guidance for clients and deal teams.
- Support transactions involving companies building in artificial intelligence and machine learning, cloud computing, software, and fintech.
- Collaborate with clients and colleagues to assess emerging risks and their practical implications for a transaction.
What You Bring
- One to three years of legal experience, with meaningful exposure to transactional work.
- Experience in M&A, capital markets, or technology transactions.
- Ability to assess privacy issues in the context of an active transaction and exercise sound judgment.
- Strong written and verbal communication skills, including the ability to provide clear, practical guidance.
- J.D. from an ABA-accredited law school.
- Strong academic credentials.
- Regulatory policy or enforcement experience is an advantage.
- CIPP certification is a plus.

Compensation & Benefits
The stated salary range is $225,000–$260,000 based on year classification, and discretionary merit bonuses may be awarded.
