Position overview

Our client is seeking a senior associate with at least four years of law-firm experience dedicated to transactional tax matters. Based in Houston, this role offers the opportunity to advise on sophisticated domestic and cross-border transactions as part of a tax practice working across offices and disciplines.

The Work

  • Advise on tax considerations and structuring for domestic and cross-border mergers and acquisitions, collaborating with deal teams as transactions develop.
  • Work on partnership tax matters, including issues arising in connection with private equity fund formation and related transactions.
  • Provide transactional tax support for capital markets matters and financings, helping address tax questions within broader deal structures.
  • Contribute to advice for clients such as private equity funds, multinational and domestic corporations, financial institutions, joint ventures, emerging companies, SPACs, and tax-exempt organizations.
  • Collaborate with tax colleagues across offices and disciplines to develop practical, commercial approaches to complex tax issues in transactions and business operations.

What You Bring

  • At least four years of law-firm experience focused on transactional tax matters.
  • Experience advising on domestic and cross-border M&A tax matters.
  • Knowledge of partnership tax matters and private equity fund formation.
  • Experience with transactional tax issues in capital markets matters and financings.
  • Ability to analyze complex tax questions and develop practical advice for clients and deal teams.
  • Experience serving clients such as funds, corporations, financial institutions, joint ventures, emerging companies, SPACs, or tax-exempt organizations is relevant to the practice.
