Position overview

Our client is seeking a Tax Associate with at least two years of experience to join its Energy & Infrastructure team in Austin. The role involves transactional tax work on power and energy-transition financings and M&A, including energy tax credit transactions and complex deal documentation.

The Work

  • Advise on tax aspects of financings and M&A involving power and energy-transition transactions, contributing to the structuring and execution of matters.
  • Work on energy tax credit transactions, including tax equity investments and tax credit transfers.
  • Document and negotiate complex joint ventures, addressing tax considerations that affect the parties’ economic and governance arrangements.
  • Draft and negotiate tax provisions in partnership agreements, credit agreements, and purchase and sale documentation.
  • Apply partnership tax rules to transaction structures and related agreements, coordinating tax analysis with broader deal work.
  • Collaborate with lawyers across offices and disciplines on tax issues arising in transactions, controversies, and general business operations.

What You Bring

  • At least two years of legal experience, with relevant experience in transactional tax, financings, or M&A.
  • Experience with power and energy-transition transactions, including financings or acquisitions.
  • Some substantive experience with energy tax credit transactions.
  • Experience documenting and negotiating complex joint ventures and tax equity transactions.
  • Familiarity with partnership tax rules and their application to transactional structures.
  • Ability to draft and negotiate tax provisions in partnership agreements, credit agreements, and purchase and sale documentation.
