Our client is seeking an associate with 2–4 years of experience to join its Energy & Infrastructure tax practice in New York City. The role centers on tax aspects of financings and M&A involving power and energy-transition transactions, including substantive work on energy tax credit matters.
The Work
- Advise on the tax aspects of financings and mergers and acquisitions involving power and energy-transition projects.
- Structure, document, and negotiate complex joint ventures, including partnership-based arrangements.
- Work on tax equity transactions and tax credit transfers, helping address the tax and commercial considerations that shape each structure.
- Draft and negotiate tax provisions in partnership agreements, credit agreements, and purchase and sale documentation.
- Apply partnership tax rules to transaction structures and documents, coordinating tax analysis with the broader deal context.
- Engage with clients on tax-related issues as transactions are structured, negotiated, documented, and completed.
What You Bring
- Two to four years of relevant legal experience, with at least two years of experience expected.
- Experience with financings and M&A involving power, energy, or energy-transition transactions.
- Substantive experience with energy tax credit transactions.
- Experience documenting and negotiating complex joint ventures and tax equity transactions.
- Experience with tax credit transfers and familiarity with partnership tax rules.
- Ability to draft and negotiate tax provisions in partnership agreements, credit agreements, and purchase and sale documentation.
- Strong transactional judgment and the ability to address complex tax issues in a practical, commercial manner.

Compensation & Benefits
Estimated base compensation is $235,000–$310,000, based on the 2026 Cravath scale; this is an estimate rather than firm-stated compensation.
